1. Agreement to Terms

By accessing or using Apex Studio ("apex-studio.neodym.io"), you agree to be bound by these Terms of Service ("Terms"). Apex Studio is operated by Neodym.io ("we", "us", "our").

If you do not agree to these Terms, do not use the service. We reserve the right to modify these Terms at any time. Continued use after changes constitutes acceptance.

2. Service Description

Apex Studio is an AI-powered poster design tool for motorsport enthusiasts. You upload racing photos and our AI generates professional poster designs featuring your images with typography, color grading, and graphic elements.

The service includes: photo upload, AI poster generation, poster editing and refinement, image upscaling, and digital download of finished posters.

3. Account Registration

To use Apex Studio, you must sign in with a Google account. You are responsible for maintaining the security of your account and for all activities that occur under your account.

You must be at least 16 years old to create an account and use the service.

4. Acceptable Use

You agree not to use Apex Studio to:

  • Upload, generate, or distribute illegal content of any kind
  • Upload or generate sexually explicit, pornographic, or NSFW content
  • Upload content depicting violence, hate speech, or discrimination
  • Infringe on the intellectual property rights of others (including uploading photos you do not have the right to use)
  • Attempt to reverse-engineer, decompile, or extract the AI models or underlying technology
  • Use automated scripts, bots, or scrapers to access the service
  • Circumvent rate limits, credit systems, or payment mechanisms
  • Impersonate another person or misrepresent your affiliation with any entity

We reserve the right to suspend or terminate accounts that violate these terms without notice or refund.

5. Intellectual Property

5.1 Your Content

You retain full ownership of any photos, logos, and other content you upload to Apex Studio. By uploading content, you grant us a limited, non-exclusive license to process it solely for the purpose of generating your posters. This license ends when your content is deleted from our servers (within 24 hours for photos).

5.2 Generated Posters

For paid packages, you receive a perpetual, worldwide, non-exclusive license to use the generated posters for any purpose, including commercial use (social media, merchandise, sponsorship materials, print).

For the free preview tier, posters include a watermark and are licensed for personal, non-commercial use only.

5.3 Our Service

The Apex Studio service, including its design, AI models, templates, typography systems, and code, is the intellectual property of Neodym.io. You may not copy, reproduce, or redistribute any part of the service itself.

6. Payment Terms

Apex Studio offers poster credits through one-time purchases. All prices are listed in USD and are inclusive of applicable taxes where required.

  • Payments are processed securely via Stripe
  • Credits are non-transferable and linked to your account
  • Purchased credits do not expire
  • Prices may change, but purchased credits remain valid at the rate paid

7. Refund Policy

We offer a 100% satisfaction guarantee. If you are not happy with the poster generated by Apex Studio, contact us and we will issue a full refund — no questions asked.

  • Refund requests must be submitted within 30 days of purchase
  • Refunds are issued to the original payment method via Stripe
  • Refund processing may take 5-10 business days depending on your bank
  • Contact neodym.cloud@gmail.com to request a refund

8. AI-Generated Content Disclaimer

Posters created by Apex Studio are generated using artificial intelligence. While we strive for high quality, please note:

  • AI-generated designs may contain imperfections, artifacts, or unexpected elements
  • Results vary based on input photo quality, lighting, and composition
  • Text rendered by the AI may occasionally contain minor errors
  • We provide refinement tools to adjust results, and offer full refunds if you are not satisfied

AI outputs are not guaranteed to be unique. Similar inputs may produce similar outputs for different users, though the generative nature of the AI makes exact duplicates extremely unlikely.

9. Service Availability

We aim to provide a reliable service but do not guarantee uninterrupted availability. The service may be temporarily unavailable due to:

  • Scheduled maintenance and updates
  • Third-party service outages (authentication, payment, or AI providers)
  • Unexpected technical issues

We will make reasonable efforts to notify users of planned downtime in advance. Unused credits remain valid and are not affected by service interruptions.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Neodym.io shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service.

Our total liability for any claim related to the service shall not exceed the amount you paid us in the 12 months preceding the claim.

This limitation does not apply where prohibited by law, including under EU consumer protection regulations.

11. Indemnification

You agree to indemnify and hold harmless Neodym.io from any claims, losses, or damages (including legal fees) arising from:

  • Your violation of these Terms
  • Content you upload that infringes third-party rights
  • Your misuse of generated posters

12. Termination

You may close your account at any time by contacting us or through your profile settings. Upon account closure:

  • All your data will be deleted within 30 days
  • Unused credits are non-refundable upon voluntary closure
  • Generated posters will no longer be accessible

We may suspend or terminate your account immediately if you violate these Terms, particularly the Acceptable Use policy. In such cases, we are not obligated to provide a refund.

13. Privacy

Your use of Apex Studio is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data.

14. Governing Law and Disputes

These Terms are governed by the laws of Spain and the European Union. Any disputes arising from these Terms or the use of the service shall be subject to the exclusive jurisdiction of the courts of Spain.

If you are a consumer in the EU, you retain any mandatory consumer protection rights granted by the laws of your country of residence. You may also use the EU Online Dispute Resolution platform to resolve disputes.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
